3. Quotations and Proposals
- All quotations and proposals issued by TekShove are valid for the period stated in the document, or 30 days if no period is stated.
- Prices are subject to change if the Client requests changes to the project scope, features, or timeline after a quotation has been accepted.
- Work begins only after a Project Agreement is accepted and any required advance payment is received.
4. Payment Terms
- Unless otherwise agreed in writing, projects require an advance payment before work commences, with the remaining balance payable according to the milestones or schedule set out in the Project Agreement.
- Payments can be made through the methods communicated by TekShove at the time of invoicing, such as bank transfer or other agreed payment methods.
- Late payments may result in a pause of ongoing work until outstanding amounts are settled.
- All fees are exclusive of any applicable taxes unless stated otherwise.
- Amounts paid for work already completed or in progress are non-refundable, except as described in Section 9, Cancellations and Refunds.
5. Client Responsibilities
To keep projects on schedule, the Client agrees to:
- Provide timely feedback, approvals, and content, including text, images, login details, credentials, brand assets, and other materials required for the project.
- Ensure that any content, materials, or instructions provided to TekShove do not infringe upon any third party’s intellectual property, trademark, or other legal rights.
- Designate a single point of contact for feedback and approvals where reasonably possible, to avoid conflicting instructions.
Delays caused by late feedback, content, or approvals from the Client may result in corresponding delays to the project timeline, for which TekShove is not responsible.
6. Revisions
Each project includes a defined number of revision rounds, as specified in the Project Agreement or proposal. Revisions requested beyond this scope, or changes that alter the original project brief, may be treated as additional work and billed separately.
7. Intellectual Property
- Upon full and final payment for a project, ownership of the final approved deliverables, such as final website files, designs, and source code developed specifically for the Client, transfers to the Client.
- Third-party assets, licensed tools, stock media, plugins, frameworks, and open-source components remain subject to their respective licences.
- Until full payment is received, all work products, drafts, and deliverables remain the property of TekShove.
- TekShove retains the right to showcase completed projects, including screenshots, designs, and case studies, in its portfolio, website, and marketing materials unless confidentiality is requested and agreed to in writing.
- TekShove retains ownership of its proprietary tools, frameworks, templates, and pre-existing intellectual property used while delivering the Services.
8. Third-Party Services and Hosting
Some projects may require third-party services such as domain registration, website hosting, plugins, APIs, stock assets, or paid software licences. Unless explicitly included in the Project Agreement, the costs of these third-party services are the Client’s responsibility.
TekShove is not liable for outages, service interruptions, price changes, security incidents, or policy changes caused by third-party providers.
9. Cancellations and Refunds
- The Client may request cancellation of a project in writing at any time.
- Any amount already paid for work completed up to the point of cancellation is non-refundable.
- If cancellation occurs before work has started, any advance payment may be refunded at TekShove’s discretion, minus any costs already incurred, such as third-party licences purchased on the Client’s behalf.
- TekShove reserves the right to pause or terminate a project if payments are not made according to the agreed schedule.
- TekShove may also pause or terminate a project if the Client fails to provide necessary materials, feedback, or approvals for an extended period.
10. Warranties and Support
TekShove will make commercially reasonable efforts to fix bugs or defects directly resulting from our work when they are reported within the warranty or support period stated in the Project Agreement, where applicable.
This warranty does not cover issues caused by third-party updates, Client-made changes, hosting problems outside our control, malware, unauthorised access, or use of the deliverable outside its intended purpose.
11. Limitation of Liability
To the maximum extent permitted by law, TekShove’s total liability arising out of or related to any Service shall not exceed the total amount paid by the Client for that specific project.
TekShove shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, revenue, reputation, or business opportunities, arising from the use of our Services or deliverables.
12. Confidentiality
